JOB TITLE:  ParalegalDEPARTMENT: LegalFLSA STATUS:   Exempt LOCATION: Dallas, Texas (Hybrid)

We are seeking a proactive and detail-oriented Corporate Paralegal to join our small, collaborative in-house legal team at a publicly traded company. This role provides broad-based support across corporate governance, securities compliance, and general corporate matters. The ideal candidate thrives in a hands-on environment, is a self-starter, and is comfortable juggling a wide range of responsibilities with minimal oversight.

This role offers a hybrid work model, with a core requirement of three days a week on-site in our Addison office and the flexibility to work remotely on the other two days, with the option to work in-person on an as-needed basis.

Key Responsibilities:

Corporate Governance & Entity Management

  • Prepare and maintain board and committee meeting materials, minutes/resolutions, and corporate records.
  • Assist with organizing board and shareholder meetings, including drafting agendas, maintaining calendars, and coordinating logistics.
  • Maintain corporate books and records for the parent company and its domestic and international subsidiaries, including entity formation, maintenance, and dissolution, and preparing and filing corporate documents (e.g., articles of incorporation, annual reports).

Securities & Compliance

  • Support preparation of public company filings, including Forms 8-K, 10-Q, 10-K, and proxy statements.
  • Assist with Section 16 filings (Forms 3, 4, 5) and maintain insider trading records and blackout period communications.
  • Help ensure compliance with stock exchange rules, SEC regulations, and company policies.

Contract Management & General Support

  • Assist in the management of the contract lifecycle: intake, tracking, review, and archiving of agreements.
  • Draft and revise NDAs, vendor agreements, and other standard contracts under attorney supervision.
  • Maintain legal databases and systems, including document management and contract platforms.
  • Liaise with finance, investor relations, HR, tax, and other internal teams, as well as outside counsel.
  • Other Duties
  • Assist with legal department operations, budgeting, invoice management, and outside counsel engagement processes.
  • Conduct legal and business research as needed.
  • Take on special projects and new responsibilities as the company grows or needs evolve.

Qualifications

  • Bachelor’s degree required.
  • 4+ years of corporate paralegal experience, at least 1–2 years supporting a public company (in-house or law firm) preferred.
  • Strong organizational skills and attention to detail.
  • Ability to prioritize effectively, work independently, and handle sensitive information with discretion.
  • Working knowledge of SEC filings and corporate governance practices for public companies.
  • Experience with legal tech tools (e.g., DocuSign, Diligent, contract management systems).
  • Familiarity with D&O questionnaires, Section 16 filings, and use of EDGAR and SEC tools is a plus.

Miscellaneous Requirements:

  • Must be able to pass a 10-year background check and pre-employment drug screen as required by airline regulations and company policies.
  • Must be at least 18 years old.
  • Must be authorized to work in the U.S. per the Immigration Act of 1968.
  • Southern Airways participates in E-Verify.
  • Fluency in English.
  • Valid driver’s license and reliable transportation.
  • Computer, office equipment, phone skills.
  • Ability to work within a 24/7 operation, including holidays.
  • Must be able to meet all physical requirements related to aircraft weight limitations before and during employment.
